This English version is provided as a courtesy translation. In the event of any discrepancy, the Spanish version prevails.

1. Seller identification

In accordance with Spanish Law 34/2002 on information society services and electronic commerce (LSSI-CE):

  • Company name: LEJANO ALICANTE, S.L. (hereinafter "NEC", "Net Edge Caps" or "the Seller")
  • Tax ID (NIF): B04997763
  • Intra-Community VAT number: ESB04997763
  • Registered office: Calle Escultor José Gutiérrez, 21, bloque 7, planta 4, puerta D, 03540 Alicante, Spain
  • Commercial registry: Registro Mercantil de Alicante, ⟦volume, folio, sheet and entry, per the Commercial Registry extract⟧
  • Email: info@netedgecaps.com
  • Telephone: +34 656 964 597
  • Website: https://netedgecaps.com

2. Purpose

These Terms and Conditions of Sale (the "Terms") govern the sale of technical caps, whether catalogue items or caps customised with the Customer's visual identity, sold by NEC through netedgecaps.com, by quotation or through any other commercial channel (email, WhatsApp, contact form).

3. Definitions

  • Business Customer: a natural or legal person contracting in the course of a business or professional activity (sports clubs, associations, companies, resellers).
  • Consumer: a natural person acting for purposes outside their business or professional activity, within the meaning of Royal Legislative Decree 1/2007 (TRLGDCU).
  • Catalogue Product: a Signature collection cap sold as is, without customisation.
  • Customised Product: a cap manufactured to the Customer's specifications (logo, colours, inner message, finishes), from 25 units.
  • Mockup: a visual simulation of the Customised Product sent to the Customer before manufacturing.
  • Production Approval: the Customer's written approval of the Mockup, which triggers the manufacturing phase.

4. Acceptance of the Terms

Every order implies prior, full and unreserved acceptance of these Terms. They prevail over any general purchasing conditions of a Business Customer, unless expressly accepted in writing by NEC. NEC may amend the Terms at any time; the applicable version is the one in force on the date of order confirmation.

5. Catalogue Products (Signature collection)

5.1 Catalogue Products are ordered online. Photographs and illustrations are indicative; slight colour variations between the Customer's screen and the delivered product are possible.

5.2 The order is formed upon payment and the confirmation email sent by NEC. NEC reserves the right to refuse or cancel an order in the event of stock shortage, manifest pricing error, previous non-payment or reasonable suspicion of fraud, refunding any sums received.

5.3 Offers are valid while displayed online and while stocks last.

6. Customised Products (club orders)

6.1 Quotation. Every customised order is formalised by a written quotation, valid for 30 calendar days unless otherwise stated. The minimum quantity is 25 units per model and colour combination.

6.2 Artwork submission. The Customer supplies its logo in vector format (.ai, .eps, .pdf) or, failing that, in high resolution. NEC is not liable for reproduction defects resulting from poor quality files. Redrawing or vectorisation work may be invoiced separately, subject to prior agreement.

6.3 Mockup and approval. NEC provides a free Mockup within an indicative period of 24 working hours from receipt of the files and required information. The Mockup is a digital simulation: it does not exactly reproduce embroidery density, thread relief or the actual shade of the fabrics. The Customer's written approval of the Mockup constitutes Production Approval and releases NEC from all liability regarding the approved elements (spelling, layout, size, colour references, inner message text).

6.4 Release to production. Manufacturing starts once two conditions are met: signed Production Approval and receipt of the deposit set out in Article 8.

6.5 Amendments and cancellation. Any amendment requested after Production Approval is subject to NEC's agreement and may entail additional costs and lead times. Once manufacturing has started, the order is firm, final and non-cancellable; the deposit paid is non-refundable.

6.6 Pre-production sample. At the Customer's request, a physical sample may be produced before the production run, invoiced separately and subject to an additional lead time.

7. Prices

7.1 Prices for business orders are stated excluding VAT, in euros, ex works, unless otherwise stated in the quotation. Signature collection prices addressed to Consumers are stated including VAT.

7.2 Shipping costs, insurance and, where applicable, duties and taxes are added and indicated before order confirmation.

7.3 VAT. Spanish VAT applies at the rate in force. Intra-Community supplies to a Business Customer providing a valid intra-Community VAT number verified in the VIES database may be exempt under the reverse charge mechanism. If the number proves invalid or the Customer fails to evidence transport, NEC will charge Spanish VAT. Deliveries outside the European Union are made without Spanish VAT; customs duties and import taxes are borne by the Customer.

7.4 NEC may revise its prices at any time. The applicable prices are those of the accepted quotation or those in force on the date of the online order.

8. Payment terms

8.1 Consumers. Payment in full at the time of order, using the means offered on the site (payment card and other methods enabled by the payment provider). Payment data is processed directly by the payment provider; NEC does not store it.

8.2 Business Customers. Unless otherwise agreed in writing: 50 % deposit upon acceptance of the quotation and Production Approval, 50 % balance before shipment. NEC may require payment in full in advance for a first order.

8.3 Late payment. In accordance with Spanish Law 3/2004 on combating late payment in commercial transactions, any amount unpaid at its due date shall automatically bear late payment interest at the applicable statutory rate, without prior notice, together with a fixed recovery indemnity of EUR 40, without prejudice to further documented recovery costs. NEC may also suspend orders in progress.

8.4 The Customer may not apply any set-off without NEC's written agreement.

9. Lead times and delivery

9.1 Lead times. Catalogue Products: dispatch within an indicative 2 to 5 working days. Customised Products: 4 to 5 weeks of production from Production Approval and receipt of the deposit, plus transport time.

9.2 Lead times are indicative. As regards a Business Customer, reasonable delay gives no right to cancellation, damages or penalties. As regards a Consumer, the statutory time limits of the TRLGDCU apply: if NEC fails to deliver within the agreed period or, failing that, within a maximum of 30 days, the Consumer may require delivery within an additional reasonable period and, failing that, terminate the contract with full refund.

9.3 Delivery area. European Union, Switzerland and the United Kingdom. Other destinations upon request.

9.4 Transfer of risk. As regards a Business Customer, risk passes upon handover of the goods to the carrier. As regards a Consumer, risk passes upon physical possession of the product.

9.5 Receipt of goods. The Business Customer must check the condition and number of parcels on delivery, record precise reservations on the carrier's delivery note and confirm them to NEC within 48 hours. Failing this, no claim for transport damage will be admissible.

10. Manufacturing tolerances

Minor variations are inherent to cap manufacturing and embroidery. The following are expressly accepted as conforming:

  • a ± 5 % tolerance on the quantity produced for customised orders, the quantity actually delivered being invoiced;
  • colour variations between the requested Pantone reference and the actual result, within a tolerance of up to 10 %, on both the technical fabric and the embroidery threads, including between separate production batches of the same model;
  • embroidery positioning variations of a few millimetres;
  • differences between the digital Mockup and the finished product inherent to the transfer from file to embroidery.

Such variations do not constitute a lack of conformity.

11. Logos, trade marks and content supplied by the Customer

11.1 The Customer represents and warrants that it owns the rights to the logos, trade marks, names, texts and images it supplies, or holds all authorisations required to reproduce them on the products.

11.2 The Customer shall indemnify and hold NEC harmless against any claim, action, award, cost or fee arising from infringement of third-party rights caused by the supplied elements.

11.3 NEC may refuse any order whose content is unlawful, defamatory, discriminatory, contrary to public policy or liable to infringe third-party rights.

11.4 Promotional use. Unless the Customer objects in writing at the time of the order, NEC may reproduce photographs of the manufactured products and the club's name in its commercial references, website and social media, without financial consideration. This authorisation may be withdrawn at any time by written request, with future effect.

12. Right of withdrawal (Consumers)

12.1 The Consumer has 14 calendar days from receipt of the product to withdraw without giving reasons and without penalty, by unambiguous statement sent to info@netedgecaps.com or using the form in the Annex.

12.2 Products must be returned without undue delay and in any event within 14 calendar days of the statement, in original condition, unworn, complete and in their packaging. Direct return costs are borne by the Consumer, except for defective products or NEC errors.

12.3 NEC will refund all payments received, including standard delivery costs, within 14 calendar days of being informed of the withdrawal, and may withhold the refund until the products are received or until the Consumer provides proof of dispatch. The Consumer is liable for any diminished value resulting from handling beyond what is necessary to establish the nature and functioning of the product.

12.4 Exclusion. Pursuant to Article 103.c) of the TRLGDCU, the right of withdrawal does not apply to Customised Products, made to the Customer's specifications or clearly personalised (logo embroidery, club colours, personalised inner message).

12.5 The right of withdrawal is not available to Business Customers.

13. Statutory guarantee of conformity

13.1 As regards Consumers, NEC is liable for any lack of conformity appearing within three (3) years of delivery, in accordance with Articles 114 et seq. of the TRLGDCU. The Consumer may choose between repair and replacement and, where these are impossible or disproportionate, may claim a price reduction or termination of the contract. The action is time-barred five (5) years after the lack of conformity becomes apparent.

13.2 Normal wear and tear, damage resulting from improper use, washing not in accordance with the care instructions, modification of the product by the Customer, or accident, are excluded from the guarantee.

13.3 As regards Business Customers, the guarantee is limited to replacement or credit for products acknowledged as non-conforming, to the exclusion of any other compensation.

14. Claims (Business Customers)

Any claim relating to an apparent defect, a reference error or a lack of conformity must be notified in writing, with photographs and the order number, within eight (8) calendar days of receipt. After this period the products are deemed accepted. No return is accepted without NEC's prior written agreement.

15. Retention of title

Delivered products remain the property of NEC until full and effective payment of the price, including principal and interest. The Customer nevertheless bears the risk from delivery and undertakes to keep the products identified and insured.

16. Liability

16.1 NEC is liable for the direct and foreseeable consequences of its breaches. As regards Business Customers, NEC's total liability on any ground is limited to the net-of-VAT amount of the order concerned; indirect damages are excluded, in particular loss of profit, turnover, customers, image or commercial opportunity.

16.2 These limitations do not apply in cases of wilful misconduct, gross negligence or personal injury, and do not restrict the mandatory statutory rights of Consumers.

17. Force majeure

NEC is not liable for non-performance or delay resulting from an event of force majeure, including natural disaster, fire, epidemic, armed conflict, civil unrest, strikes, border closures, customs restrictions, raw material shortages, major breakdown of a production unit or interruption of transport networks. If the impediment lasts more than 90 days, either party may terminate the order without compensation, work already carried out being settled.

18. Personal data protection

18.1 Controller: LEJANO ALICANTE, S.L., Calle Escultor José Gutiérrez, 21, bloque 7, planta 4, puerta D, 03540 Alicante, Spain — info@netedgecaps.com.

18.2 Purposes and legal bases: management of quotations, orders, delivery and after-sales service (performance of the contract); invoicing and accounting and tax obligations (legal obligation); commercial prospecting and newsletter (consent or legitimate interest for existing customers); site improvement and audience measurement (consent via the cookie manager).

18.3 Retention: for the duration of the commercial relationship and thereafter for the statutory limitation and accounting retention periods (generally six years for commercial matters, four years for tax matters).

18.4 Recipients: hosting, payment, transport, invoicing and CRM providers, bound by data processing agreements. Some providers may be located outside the European Economic Area; such transfers are covered by the safeguards provided for in the GDPR, in particular standard contractual clauses.

18.5 Rights: access, rectification, erasure, restriction, objection and portability, by request to info@netedgecaps.com with proof of identity. Data subjects may lodge a complaint with the Spanish Data Protection Agency (www.aepd.es).

18.6 Full details of processing are set out in the site's Privacy Policy and Cookie Policy, which form an integral part of these Terms.

19. NEC intellectual property

The Net Edge Caps trade mark, the NEC logo, collection names, designs, texts, photographs and all elements of the site are the exclusive property of NEC or used under licence. Any reproduction or use, in whole or in part, is prohibited without prior written authorisation. Purchasing products confers no rights over these elements beyond the right to resell the products acquired.

20. Severability and waiver

The invalidity or unenforceability of any clause does not affect the validity of the remaining provisions. NEC's failure to exercise a right under these Terms does not constitute a waiver of that right.

21. Governing law and dispute resolution

21.1 These Terms are governed by Spanish law.

21.2 Business Customers. The parties expressly submit, waiving any other jurisdiction, to the courts of Alicante (Spain), including in the event of multiple defendants or third-party proceedings.

21.3 Consumers. Consumers retain the right to bring proceedings before the courts of their domicile and to rely on the mandatory protective provisions of their country of residence. Before any legal action, a complaint may be sent to info@netedgecaps.com; NEC undertakes to reply within 15 working days. Consumers may also use the official complaint forms, the municipal consumer information offices or the competent Junta Arbitral de Consumo. NEC is not a member of the Spanish consumer arbitration system.
